Terms of Service

1. Agreement to these terms

By creating an account, starting a trial, or otherwise using Yardstick (the “Service”), you agree to these Terms of Service. If you are using the Service on behalf of an organization, you confirm that you are authorized to bind that organization, and “you” refers to that organization. If you do not agree, do not use the Service.

2. Who we are

Yardstick (“Yardstick”, “we”, “us”, or “our”) is operated by Yardstick AI, Inc., registered in the State of Delaware, USA (the “Company”). You can reach us at hello@yardstick.fi.

3. What Yardstick does

Yardstick is a subscription analytics and reporting service. It measures the performance, cost, and output quality of AI agents and presents the results as scores, dashboards, reports, and, on some plans, AI-generated insights. Available features depend on your plan.

Yardstick is an analytics and reporting service only. We do not provide financial, investment, or trading services; we do not execute transactions, custody assets, manage funds, or transmit money; and we are not a broker, exchange, or money services business. See section 8.

4. Accounts

You must be at least 18 years old to use the Service. You agree to provide accurate account information, to keep your credentials secure, and to be responsible for all activity under your account. Notify us promptly of any unauthorized use.

5. Plans, trials, and billing

• New paid plans may begin with a free trial. If you do not cancel before the trial ends, the plan converts to a paid subscription and the applicable fee is charged.
• Paid subscriptions are billed in advance on a recurring basis (monthly or annually) and renew automatically until cancelled. You can cancel at any time; cancellation takes effect at the end of the current billing period.
• Our order process and payments are processed by Stripe. Yardstick Labs, Inc. is the seller of record; applicable sales tax or VAT is calculated and added at checkout via Stripe Tax where required.
• Fees, included usage, and any per-unit overages are shown at checkout and on our pricing page. We may change prices for future billing periods with reasonable notice.
• Refunds are governed by our Refund Policy.

6. Acceptable use

You agree not to:

• use the Service for any unlawful purpose or in violation of these terms;
• copy, resell, sublicense, or provide the Service to third parties except as expressly permitted;
• reverse engineer, decompile, or attempt to extract source code, except to the extent this restriction is prohibited by law;
• scrape, overload, disrupt, or circumvent any limits, security, or access controls of the Service;
• upload malware, infringe others’ rights, or submit data you do not have the right to submit.

7. Your data

You retain ownership of the data and content you provide or connect. You grant us a worldwide, non-exclusive license to host, process, and display that data solely to operate and improve the Service. Our handling of personal data is described in our Privacy Policy.

8. No financial advice; accuracy

Scores, metrics, rankings, and insights are provided for informational purposes only and do not constitute financial, investment, trading, legal, accounting, or tax advice, nor a recommendation to enter into any transaction. You are solely responsible for your decisions. Measurements depend on third-party data sources and may be incomplete, delayed, or inaccurate; we do not warrant their accuracy or completeness.

9. Intellectual property

The Service, including its software, design, and the Yardstick name and logo, is owned by the Company and its licensors and is protected by intellectual-property laws. These terms grant you a limited, revocable, non-transferable right to use the Service; no other rights are granted.

10. Third-party services

The Service relies on third parties such as hosting providers, payment processors, and AI model providers. We are not responsible for third-party services, and your use of them may be subject to their own terms.

11. Disclaimers

The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, or error-free.

12. Limitation of liability

To the maximum extent permitted by law, neither the Company nor its suppliers will be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data. Our total liability arising out of or relating to the Service will not exceed the amounts you paid to us for the Service in the twelve months before the event giving rise to the claim.

13. Indemnification

You agree to indemnify and hold the Company harmless from claims, losses, and expenses arising out of your use of the Service, your data, or your violation of these terms, to the extent permitted by law.

14. Suspension and termination

You may stop using the Service and cancel at any time. We may suspend or terminate your access if you breach these terms, fail to pay, or use the Service in a way that risks harm to us or others. On termination, your right to use the Service ends; sections that by their nature should survive will survive.

15. Changes

We may update the Service and these terms from time to time. If we make material changes, we will take reasonable steps to notify you. Your continued use of the Service after changes take effect constitutes acceptance.

16. Governing law

These terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-laws rules, and the courts of that jurisdiction will have exclusive jurisdiction, except where mandatory consumer law provides otherwise.
